1. Introduction and Acceptance

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Build Beyond Hightech LLC ("BBH," "we," "us," or "our"), operated by Thamer Baccouch.

By creating an account on our client portal, ordering a website, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

These Terms apply to all services provided through bbhightech.com, including but not limited to website design, development, hosting, domain registration, SSL certificates, and ongoing maintenance.

3.1 Eligibility

You must be at least 18 years of age and capable of forming a legally binding contract to use our services. By registering, you represent and warrant that you meet these requirements.

3.2 Account Information

When you create an account through our client portal at bbhightech.com/portal/, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You must notify us immediately at support@bbhightech.com if you suspect unauthorized access to your account.

3.3 Account Security

We use JWT (JSON Web Token) authentication stored in your browser's localStorage. You are responsible for the security of your device and browser. We are not liable for any loss or damage arising from your failure to protect your login credentials.

4. Pricing and Billing

4.1 Free Website Build

BBH offers a complimentary website design and development service. We build your website at no upfront cost. You receive a full demo of your custom website before making any commitment. There is no obligation to proceed after viewing the demo.

4.2 Hosting Fees

If you choose to launch your website, the annual hosting fee is €110 per year. This fee covers:

The hosting fee is billed annually. Payment is due upon launch and renews annually on the anniversary of your launch date.

4.3 Premium Upgrade

A premium upgrade is available for a one-time fee of €100. This includes additional design enhancements, extra pages, or advanced functionality as agreed upon between you and BBH before the upgrade is applied.

4.4 Source Code Purchase

You may purchase the complete source code of your website for a one-time fee of €500. Upon purchase, you receive full ownership of the source code and may host it independently (see Section 5 for intellectual property details).

4.5 Payment Processing

All payments are processed through LemonSqueezy, our third-party payment processor. By making a payment, you agree to LemonSqueezy's terms of service. BBH does not store your credit card information or full payment details on our servers.

All prices are listed in Euros (€) unless otherwise specified. Prices are exclusive of any applicable taxes, which are your responsibility based on your jurisdiction.

4.6 Late Payments

If your annual hosting renewal payment is not received within 14 days of the due date, we reserve the right to suspend your website. If payment is not received within 30 days, we reserve the right to take down your website and delete associated files. We will make reasonable efforts to contact you before taking either action.

5. Intellectual Property

5.1 Your Content

You retain full ownership of all content you provide to us, including but not limited to text, images, logos, branding materials, and business information ("Client Content"). By providing Client Content, you grant BBH a non-exclusive, revocable license to use it solely for the purpose of delivering the agreed-upon services.

5.2 BBH's Code and Design

Unless you purchase the source code (see Section 4.4), all website code, design elements, custom graphics, layouts, and technical implementations created by BBH remain the intellectual property of Build Beyond Hightech LLC. You are granted a non-exclusive, non-transferable license to use the website for the duration of your active hosting subscription.

Upon purchase of the source code for €500, full ownership of the website code transfers to you. You may then host, modify, and use the code as you see fit. BBH retains the right to use anonymized elements of the design in our portfolio unless you request otherwise in writing.

5.4 Portfolio Rights

BBH reserves the right to display your completed website in our portfolio, case studies, and marketing materials. If you prefer your website not be featured, notify us in writing at support@bbhightech.com and we will remove it within a reasonable timeframe.

6. Service Delivery

6.1 Website Development

After you submit your project details through the client portal, we will design and develop a custom website based on the information provided. We aim to deliver a demo within the timeframe communicated at the start of your project, though delivery times may vary based on project complexity and our current workload.

6.2 Revisions

We offer reasonable revisions to ensure your satisfaction with the final product. The scope and number of revisions will be communicated during the project. Requests for revisions that substantially change the scope of the original project may incur additional fees, which will be communicated and agreed upon before work begins.

6.3 Hosting Uptime

We strive to maintain high availability for all hosted websites but do not guarantee 100% uptime. Scheduled maintenance, server updates, and circumstances beyond our control (such as DDoS attacks, upstream provider outages, or force majeure events) may result in temporary downtime. We will make reasonable efforts to minimize disruptions and notify you of planned maintenance in advance.

7. Cancellation and Refunds

You may cancel your hosting subscription at any time by contacting us at support@bbhightech.com. Upon cancellation:

Because the website build is provided free of charge, there is no refund applicable for the design and development phase. For hosting fees:

7.3 Cancellation by BBH

We reserve the right to suspend or terminate your account and services if you violate these Terms, engage in prohibited activities (see Section 8), fail to pay fees when due, or if continuing to provide services would expose BBH to legal liability. In the event of termination by BBH for reasons other than your breach of these Terms, we will provide a pro-rata refund of any prepaid hosting fees.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.

You agree to indemnify, defend, and hold harmless Build Beyond Hightech LLC, its owner, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

Our services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, BBH disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our services will be uninterrupted, error-free, secure, or free of viruses or other harmful components. While we take reasonable measures to protect your data and ensure service reliability, we cannot guarantee absolute security or availability.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page. For material changes that significantly affect your rights or obligations, we will make reasonable efforts to notify you via email at least 14 days before the changes take effect.

Your continued use of our services after any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using our services and cancel your subscription.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions, as Build Beyond Hightech LLC is registered as a Wyoming LLC.

Any disputes arising from or relating to these Terms or our services shall first be attempted to be resolved through good-faith negotiation between the parties. If a resolution cannot be reached within 30 days, either party may pursue resolution through the courts of competent jurisdiction in the State of Wyoming.

For clients located in the European Union, nothing in these Terms shall deprive you of the protection afforded by mandatory consumer protection laws of your country of residence, including your right to bring legal proceedings in your local courts.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Build Beyond Hightech LLC regarding your use of our services, and supersede all prior agreements, communications, and understandings, whether written or oral.
